Seller Terms & Onboarding Agreement

Welcome to KennysDIY.com (“the Platform”, “we”, “us”, or “admin”). These Seller Terms & Onboarding Agreement (“Agreement”) establish the foundational terms under which approved digital content creators (“you” or “Seller”) may publish and commercialize downloadable materials on the Platform.

By completing an application form, accepting a direct invite link, uploading project documents, or managing an active vendor account, you explicitly confirm that you have read, understood, and agree to be bound by the terms of this Agreement, the Seller Content Guidelines, our overarching Terms of Service, and all active Platform system rules.

1. Nature of the Marketplace

KennysDIY.com functions strictly as a curated, premium multivendor marketplace built exclusively for instantly downloadable DIY project plans, manuals, and instructional guides in standard PDF format. The entire framework operates on a “Strictly DIY – Strictly PDF” brand promise. Physical inventory items, human services, physical consulting, subscription memberships, or non-PDF alternative file extensions are not allowed. Our platform is application-based, and access is approved solely at our management’s discretion.

2. Seller Onboarding Eligibility

To qualify for storefront activation on the platform, you must meet the following parameters:

• Receive an official administrative invite or secure structural approval via our application processing board.
• Provide wholly original, high-grade instructional documents optimized for active builder use.
• Maintain a baseline catalog of at least five (5) completed PDF project documents (exceptions are reviewed on an individual basis).
• Hold complete legal copyright ownership and undisputed commercial redistribution rights for all files submitted.
• Provide fully verifiable personal, business, and contact detail profiles during system registration.

3. Document File Standards

All product inventory documents uploaded must conform to the following properties:

• Be delivered in standard, unencrypted, and unprotected PDF format.
• Contain fully accurate, logical, legible, and functional building diagrams and metric/imperial lists.
• Be free of infringing third-party trademarks, plagarized layouts, or unlicensed text structures.
• Adhere strictly to family-safe, constructive DIY project plans and/or guides.

4. Platform Listing Management (The Drop-and-Forget Model)

To maximize creator efficiency, the Platform operates a fully managed, hands-off setup structure:

• The author simply supplies the raw, completed instructional PDF document.
• Administration (assisted by optimized AI tools) runs a validation pass for quality controls.
• Administration builds the layout entry, generating SEO-optimized text summaries, titles, and layout display media directly from inside your file.
• Our core system manages checkout item generation, hosting, tracking, and localized search delivery.
• Standard customer checkout questions are handled by our automated assistant systems. Authors are not forced to provide continuous customer help channels unless they actively choose to do so via their store front.

5. Flipbook Sample Generation

To scale user acquisition metrics, our team may build an online interactive flipbook module showcasing select structural pages of your guide document. To safeguard author copyright data, primary dimensions or step counts are systematically hidden or redacted within this viewing module. Authors retain the right to opt out of preview sampling tools at any juncture.

6. Creator Dashboard Accounts

Upon onboarding confirmation, you will receive access credentials to a secure cloud platform vendor dashboard. This portal lets you view transparent live checkout statistics, evaluate performance patterns, update file iterations, and track income splits. All modifications remain subject to administrative confirmation before passing live to production.

7. Split Revenue Share

On every successful transaction verified on your published documents:

• The Seller receives 60% of the net financial transactional receipt.
• The Platform receives 40% of the net financial transactional receipt.

Net receipts are calculated systematically following the deduction of standard merchant processing gateway fees, authorized consumer adjustments, chargeback files, or transactional reversals.

8. Earnings Distribution and Payout Windows

Sellers can request an outward financial transfer as soon as their ledger balance matches or exceeds $50 USD. Outward payouts are executed securely via linked PayPal pathways. Administration maintains full rights to place holds on balances or delay transfers for up to 30 days to clear consumer dispute files or check security parameters.

9. Technical Reversals & Dispute Settlement

Customer dispute files, refund matches, and transaction holds are processed uniformly by our support team in accordance with our public user terms. Any confirmed refund adjustment made on your item is systematically balanced against your upcoming account ledger allocations.

10. Intellectual Property Rights

Authors retain 100% intellectual property ownership of their underlying design blueprints. By submitting documents to the directory, you grant KennysDIY a worldwide, non-exclusive, sub-licensable license to catalog, distribute, stream preview samplers, market, and transmit the files for the purpose of operating the marketplace.

11. Prohibited Seller Conduct

Sekkers must not submit material or drive traffic patterns involving:

• Plagiarized, scraped, or unauthorized copies of work belonging to other sellers.
• Dangerously inaccurate construction mechanics or volatile instructional steps.
• Malicious links, tracker code strings, or digital rights management locks inside document files.

12. Account Closure and Termination

Authors can request the closure of their platform presence at any point by filing an administrative ticket. Existing catalog listings will be systematically removed within a reasonable window, and outstanding balances above our baseline rule will be fully distributed following standard clearing cycles.

13. Governing Jurisdiction

This agreement, operational standards, and legal processing dynamics are governed explicitly by the laws and courts of New Zealand.
